1. Scope
These general terms and conditions apply to all contracts between vz.protect (hereinafter “Contractor”) and its clients (hereinafter “Client”) for security services, unless otherwise agreed in writing.
2. Conclusion of contract
Quotations are non-binding unless expressly stated to be binding. A contract is concluded by written order confirmation or by commencement of the service.
3. Scope of services
The scope of services is set out in the respective quotation and order confirmation. Changes require written confirmation. The Contractor owes careful performance, not a specific outcome in the sense of a guarantee that all risks will be averted.
4. Client obligations
The Client shall provide all information, access and contacts required for performance in good time. The Client shall inform the Contractor immediately of specific risks, changes in the situation or security-relevant incidents.
5. Remuneration and payment
Remuneration is set out in the quotation. Unless otherwise agreed, invoices are due within [payment period] days without deduction. Statutory provisions apply in the event of default.
6. Liability
The Contractor is liable without limitation for intent and gross negligence, and for injury to life, body or health. In the case of simple negligence, the Contractor is liable only for breach of essential contractual obligations and limited to foreseeable damage typical of the contract. Liability under the German Product Liability Act remains unaffected.
7. Confidentiality
Both parties undertake to keep confidential all information obtained in the course of cooperation, in particular personal data and assignment details, and to use it only for performance of the contract. This obligation continues after termination of the contract.
8. Data protection
The parties undertake to comply with applicable data protection law. Where the Contractor processes personal data on behalf of the Client, the parties shall conclude a data processing agreement pursuant to Art. 28 GDPR.
9. Term and termination
The term is set out in the contract. Ordinary and extraordinary termination is governed by statutory provisions and the respective agreement. The right to terminate for good cause remains unaffected.
10. Final provisions
German law applies. The place of jurisdiction is Dortmund, insofar as permissible. Should individual provisions be invalid, the validity of the remaining provisions remains unaffected. The statutory provision shall take their place.
